Complete Liquidation of Wholesale Auto Parts
1). ALL BIDS ARE MADE AND RECEIVED UNDER THE TERMS HEREINAFTER SET FORTH. BIDDERS AGREE BY MAKING THEIR BID AT THE SALE. THESE TERMS CANNOT BE ALTERED EXCEPT BY THE AUCTIONEER. NO EMPLOYEE HAS AUTHORITY TO MODIFY SAME. THE OWNER AND/OR AUCTIONEER RESERVE THE RIGHT TO ADD OR MODIFY THE TERMS OF THE SALES.
2). REGISTRATION: All bidders must register before bidding. All bidders are required to provide a valid credit card and must register with HIBID.com. Full name, company name, address, phone, fax, email address, and credit card information when registering.
3). BUYERS PREMIUM(S): A 15% (Fifteen percent) Buyer's Premium will be added to all ONLINE PURCHASES.
4). ONLINE REGISTRATION: Online bidders will be required to use a credit or debit card for a deposit. In order to bid via the internet, your credit or debit card will be assessed a 100% refundable $250 deposit (U.S. funds) processed through HiBid, a fully secure and PCI compliant registration process. The bidder may use their deposit towards their balance or once all invoices have been paid in full, the deposit may be refunded. If you are unsuccessful in the auction, your card will be refunded your deposit within 24 (Twenty Four) hours post auction.
5). PAYMENT(S): FULL PAYMENT MUST BE MADE IMMEDIATELY FOLLOWING THE CLOSE OF AUCTION DAY: United-Strategic Client Services, LLC, (United-SCS) DOES accept credit cards for auction invoice payments. All payments must be made by Cashier's Check, VISA, MASTERCARD, DISCOVER, AMERICAN EXPRESS or by Wire Transfer with 25% (Twenty Five) percent down payment day of sale. Personal or Company Check will be accepted with a verifiable Bank Letter of Guarantee made out to United-Strategic Client Services, LLC (United-SCS). Under absolutely no circumstance may a successful bidder stop payment on a check or reverse charge on a credit card purchase.
**Here is an example of what your letter should be: [Mr. "Customer Name" representing "Company Name" is a customer of this bank. This bank will guarantee unqualified payment to United-Strategic Client Services, LLC on the account listed herein up to the amount of $_______________. This letter is good until (insert expiration date 30 days from sale date).
6). All deposits and balances due shall be payable to the order of United-Strategic Client Services, LLC unless instructed otherwise. All payments must be paid to United-SCS at the location directed by the Auctioneers on sale day or by wire transfer directly to the bank specified in the wire transfer instructions provided for this Online auction.
7). CREDIT CARD PURCHASES: A 2.5% (Two Point Five) Percent convenience fee will be added to the total invoice of all purchases paid by credit card. Under absolutely no circumstance may a successful bidder stop payment on a check or reverse charge on a credit card purchase.
By registering, the Bidder hereby expressly authorizes United-SCS to charge the Credit Card presented if the Bidder fails to pay any invoice within twenty four (24) hours after each invoice is issued to Bidder.
All bids must be paid in full within 24 (Twenty Four) hours after the bids have closed. The Auctioneer shall determine the bidding increments. Some items may be auctioned with reserve.
8). REMOVAL: Purchases may be removed during the following check-out days with a paid receipt. No items may be removed without a Paid in Full receipt. All purchases except for shelving may be removed 9 a.m. to 5 p.m., Wednesday, August 8; Thursday, August 9; and Friday, August 10th. Shelving shall be removed on the following dates: Friday August 10th unless the purchaser of the shelving units also purchased the merchandise. DEADLINE: All purchases must be removed from the property by 5 p.m., Friday, August 10th unless Buyer has written exception from the Auction Company. All purchases must be paid in full prior to removal. NO EXCEPTIONS! Removal shall be at the expense, risk and liability of the Purchaser. Auctioneer shall not be responsible for goods not removed within the designated removal times.

9). INSURANCE REQUIREMENTS FOR RIGGERS, MOVERS, ELECTRICIANS AND SERVICE PROVIDERS: Riggers, movers, electricians, service providers and buyers performing work at the Auction Site must provide Auctioneer with evidence of a minimum of $1,000,000 (One) million dollar General Liability insurance policy and add United-SCS as additionally insured. The insurance coverage must be at a level acceptable to Auctioneer and to the Seller to gain access to the facility. All policies should be provided to Auctioneer by 12 Noon, Wednesday, August 8th, 2018. Call Auctioneer if you have any questions, 214-906-5265 or 940-284-8300.
10). DISCLAIMER: THE AUCTIONEER SHALL NOT BE RESPONSIBLE FOR THE CORRECT DESCRIPTION, GENUINENESS, AUTHENTICITY OF, OR DEFECT IN ANY LOT, AND MAKES NO WARRANTY IN CONNECTION THEREWITH. NO SALE SHALL BE SET ASIDE NOR ALLOWANCE MADE ON ACCOUNT OF ANY INCORRECTNESS, ERROR IN CATALOGING, OR ANY IMPERFECTION NOT NOTED. NO DEDUCTION ALLOWED ON DAMAGED ARTICLES, ALL ARTICLES BEING DISPLAYED FOR PUBLIC EXHIBITION, AND SOLD "AS IS" AND WITHOUT RECOURSE. ARTICLES ARE NOT WARRANTED AS MERCHANTABLE OR FIT FOR ANY PARTICULAR PURPOSE, AND NO CLAIM MAY BE MADE BY PURCHASER RELATING TO THE CONDITION OR USE OF ARTICLES PURCHASED, OR FOR PROXIMATE OR CONSEQUENTIAL DAMAGES ARISING THEREFROM. ALL LOTS ARE SOLD SUBJECT TO APPROPRIATE STATE OR LOCAL SALES TAX.
11). DESCRIPTION DISCLOSURE: Although all information has been obtained from sources deemed reliable, the auctioneer and seller make no warranty or guarantee, expressed or implied, as to the accuracy of the information herein contained, or contained in our catalog. It is for this reason that buyers should avail themselves of the opportunity to make inspection prior to the auction. Although it is not likely, auction sales are subject to cancellation or postponement. Auctioneer recommends all prospective bidders review the Auctioneers website prior to the Auction for all last-minute notices and announcements and prior to all travel.
12). SAFETY DISCLOSURE REGARDING ASSETS: Articles purchased may not incorporate approved activating mechanisms, operating safety devices or safety guards, as required by OSHA or otherwise. It is Purchaser's responsibility that articles purchased be so equipped and safeguarded to meet OSHA and any other requirements before placing such articles into operation. Purchaser agrees to indemnify and hold Auctioneer harmless from and against all claims and liabilities relating to the condition or use of the articles purchased or failure of user to follow instructions, warnings or recommendations of the manufacturer, or to comply with federal, state and local laws applicable to such articles, including OSHA requirements, or for proximate or consequential damages, costs or legal expenses arising therefrom.
13). HOLD HARMLESS: Auctioneer shall not, in any event, be liable for non-delivery or any other matter or thing, to any Purchaser of any lot other than for the return to the Purchaser of the deposit or sum paid on said lot, should the Purchaser be entitled thereto. In default of payment of bills in full within the time therein specified, the Auctioneer in addition to all other remedies allowed by law, may retain all monies received as deposit or otherwise, as liquidated damages. Lots not paid for and removed within the time allowed herein may be resold at public or private sale without further notice, and any deficiency, together with all expenses and charges of re-sale, will be charged to the defaulting Purchaser.
14). NOT RESPONSIBLE FOR accidents, FIRE OR THEFT: Persons attending the inspection, sale or removal of goods assume all risks of damage of or loss to person and property and specifically release the Auctioneer AND Owner from liability therefor. Neither the Auctioneer nor his principal shall be liable by reason of defect in or condition of the premises on which the sale is held.
15). DECISION OF AUCTIONEER IS FINAL: The Auctioneer reserves the right to withdraw from sale any of the property listed or to sell at this sale property not listed and reserves the right to group one or more lots into one or more selling lots or to subdivide into two or more selling lots. Whenever the best interest of a Seller will be served, the Auctioneer reserves the right to sell all the property listed, in bulk. The record of sale kept by the Auctioneer will be taken as final in the event of any dispute.
ESTIMATED QUANTITIES: Where items are sold by estimated weight, count or measure, the Purchaser will be billed for and required to pay for the estimated weight, count or measure. If, upon delivery, any shortage exists, the Purchaser will receive a refund at the rate of purchase. If there be an excess, the Purchaser will be required to pay for such excess, at the rate of purchase. Any and all adjustments must be made prior to removal.
AGENTS AND AGENTS ONLY: Auctioneer is an Agent and Agent only and represents the Seller. The Auctioneer reserves the right to reject any and all bids, alter the order of sale, and accept bids made on behalf of the Seller or his representative. The Auctioneer is acting as agent only and is not responsible for the acts of its principals. Purchaser acknowledges, as an inducement to Seller to commit Purchaser to bid, that Purchaser has independently inspected the goods bid upon by the Purchaser, and acknowledges to the Seller that Purchaser is acquiring all goods "AS IS, WITH ALL FAULTS" and "WITH REMOVAL AT PURCHASERS' RISK AND EXPENSE" and agrees to protect, indemnify and hold harmless the Seller from any and all claims, demands, causes of actions, liabilities and judgments relating to the conditions or use of the goods. Seller, if not the same as the Auctioneer, shall have the rights, protections and benefits afforded to the Auctioneer as set forth herein.
ANY ADDITIONAL PROVISIONS OR AMENDMENTS TO THE ABOVE LISTED TERMS WILL BE POSTED TO THE ONLINE SALE WEB PAGE BY THE AUCTIONEER PRIOR TO THE START OF BIDDING.
