Listing Terms and Conditions
All items sell AS-IS with no warranties of any kind. Auction Date & Location: Martin Auction Services, L.L.C. ("Auctioneer") will offer the property for sale at online auction, the property listed in this brochure. The Auctioneer will represent the Seller at this event, bidding will open on March 24, 2020 at 10 AM and the closing countdown will begin at 10 AM on March 31, 2020. Please bid early so you don't "miss" a property. Bidder Registration: All bidders will be required to register to bid. Auction Procedures: This will be an online only auction. Once all real estate lots are open for bidding, bidders will have the opportunity to bid on one, or as many lots as they would like to bid on. All lots (except for tract 3) are being sold on a per acre basis. Lot 3 will be bid on in its entirety. All lots are sold individually and will not be offered together at any time. Any bidder who wants to combine lots will need to be the high bidder on each specific lot. All lots will close together, such that- if a bid in made in the final minutes or seconds, ALL LOTS will have their closing time extended; this way, if you are trying to combine one property with another, you will have ample time to bid again on a property you may have been outbid on to keep your other lot together. All sales do stand on their own. The only exception to this will be the lime pile, it is not tied to the closing of the real estate lots. Conduct of the auction will be the sole discretion of the Auctioneer. The Auctioneer has the right to reject any bids and will be the final authority as to the bidding increments. Auctioneer reserves the right and authority to eject any bidder from the auction for any reasonable grounds deemed appropriate by the Auctioneer. Documentation made by the Auction Company before the auction closes will supersede any prior written or oral information. Bidders agree and understand that any property may be removed from the auction at any time by the Seller. This will be conducted as an online only auction and each lot will sell individually. This is NOT a multi par style auction. Real Estate Sales Contract: The property is offered for sale on and subject to the terms and conditions contained in the Real Estate Sales Contract. A copy of the contract may be found on-line at www.martinauction.com or one may be obtained from the Auctioneer prior to the auction for review. The terms of the Sales Contract supersede any conflicting terms of sale contained herein. Bidders and their attorney should review the sales contract prior to the auction. Winning Bidder: Each winning bidder will be required to A.) place a down-payment equal to the designated amount in the form of a check or wire transfer to the Auctioneer, 10% of the gross selling price, and B.) enter into a Sales Contract with the seller for the prospective property. Closing of the auction will occur within 45 days of the auction, unless otherwise mutually agreed upon by the Seller and Bidder. A title policy will be provided to the successful bidder at closing. C.) Seller will pay all 2019 taxes. Buyer will assume all taxes after that. D.) USDA Payments - They buyer is entitled to sign up for the USDA programs after receiving a deed to the property. The seller will keep the 2019 USDA benefits. The buyer is entitled to the 2020 program benefits going forward. Financing: This property is not contingent upon the Purchaser's ability to obtain financing. If a buyer is unable to obtain financing for a given property, the bidder understands that they will forfeit their total deposit. Auctioneer has the right, in his sole discretion to postpone, or cancel the auction in whole or in part and to modify or add any terms and conditions of the auction and to announce/ document such modifications or additional terms and conditions prior to or during the auction. All bidders acknowledge that the Auctioneer does NOT have an ownership interest in the property and therefore all bidders acknowledge that the Auctioneer is NOT responsible for any actions or inactions by the Seller regarding the Sellers obligations under the Sales Contract. Except as expressly stated in this document, these procedures, terms and conditions do not create any legal obligations on auctioneer or the seller. If auctioneer or the seller fails to comply with any of these procedures, terms and conditions for any reason, neither the auctioneer nor the seller shall have any liability or obligation whatsoever. These procedures, terms and conditions nevertheless are binding upon and must be complied with by any person or entity submitting a bid. The Seller will be bound only by the provisions of the actual Sales Contract as and when executed and delivered by each party thereto. Tuesday March 31, 2020 Terms of sale of real estate: Each property will sell as is and Possession will be given at closing. The successful bidder will be required to sign a written real estate contract and put forth a 10% deposit on auction day. A title policy will be provided to the buyer at closing. All 2019 taxes will be paid by the Seller, all taxes thereafter will be the responsibility of the buyer. Seller will pay the 2019 real estate taxes or have them credited to the buyer upon closing. Real estate shall be given on the following date: within 45 days following the Auction day, if that day falls on a weekend or holiday, closing will be the next possible date agreed upon by the Seller and Buyer. Possession is given at closing. Farms are enrolled into the program for the next farming season. This IS NOT a multi par style auction. This auction has been converted to a traditional style auction where your final bid is the final bid. THERE IS NO WAY TO COMBINE TRACTS WITHOUT BEING THE HIGH BIDDER on a specific tract. This timed event should give someone time to combine any of the tracts they want to combine. All properties are subject to sale prior to the auction.
