Auction Terms & Conditions - RoundTable Auctions � Updated 10/10/24 This document sets forth the terms and conditions ("Agreement") related to your use of RoundTable Auctions (RTA) websites and services, as well as your participation in auctions or direct purchase activities. RTA�s websites are defined as any website that hosts RTA�s auctions, items, consigned items, designs, or services performed by any associate of RoundTable Auctions, RTA affiliates, or RTA�s parent company, Gold & Coin Exchange. By accessing or using RTA�s websites and services, you affirm your understanding and agreement to abide by this Agreement. 1. AGREEMENT ACCEPTANCE: By employing RTA's websites, participating in our auctions, or acquiring via our direct sale services, you are expressing your agreement to these terms and conditions. This acceptance is obligatory and incorporates any subsequent changes we might make. 2. TERMINOLOGY: - "Auction": An online event that we organize where registered users can submit bids on items available for sale. - "Bidder" or "Buyer" or �Customer�: Any individual or entity registered with RTA intending to bid in auctions or buy items directly. - "Seller" or �Auctioneer�: Any individual or entity authorized by RTA to offer and sell items via our platform. RTA may also perform the role of a seller. - "Services": The range of auction and direct sale services provided by RTA and its affiliates. - "Items": The various items offered for auction or direct sale on our platforms. - �Affiliates�: Authorized members of the RoundTable Network. - �Payment�: Payment in full for all items and their associated fees, cleared and posted to RTA�s accounts. A holding period may apply to ACH payments. - �Transaction�: the total amount of funds owed for items and their associated taxes and fees. 3. SERVICES: RTA offers a platform for online auctions and direct sales through our websites, as well as auctions on Hibid.com. Be advised that RTA does not invariably act as the auctioneer for live auctions and may not always oversee the items listed by independent sellers. 4. ITEM DESCRIPTIONS: Sellers, not RTA, are responsible for item descriptions. Therefore, RTA cannot be held accountable for any inaccuracies in these descriptions. Customers should depend on the posted item images for ultimate assessment of item attributes. 5. SELLERS: Sellers employing RTA's services and websites to sell items are forming binding legal agreements. As a result, these services are not open to minors. Sellers must comply with our terms and conditions, provide truthful and accurate information, and keep a current seller account with RTA. 6. BIDDERS: Bidders must adhere to our terms and conditions. All Hibid Customers must be pre-approved by RTA and maintain an active Bidder account. Prior to participating in auctions or direct sales, Hibid Customers must provide the required registration information. This includes, but is not limited to, information supplied during the registration process or in any public message area or email feature. Buyers affirm that their provided information is accurate and free of any harmful software that could potentially compromise any system, data, or personal information. Bidders, like Sellers, are forming binding agreements, and hence, our services are not open to minors. Bidders with a negative reputation score will be automatically removed from the auction. For some auctions, Bidders may require written approval. If approved, a Bidder Number will be issued. Approval for one auction does not assure approval for subsequent auctions. Furthermore, RTA and individual Sellers reserve the right to refuse any individual or entity from participating in any auction or direct sale. 7. SHIPPING, HANDLING, AND INSURANCE: All shipping is done in-house by RTA and RTA affiliates. There is a $1-per-item handling fee. Your Items may arrive in multiple shipments. Costs related to shipping will be based on the total value of shipment. Costs related to shipping, handling, and insurance during the delivery of Items will be paid by the Bidder. Invoices valued up to $1,500 will incur a flat shipping rate of $9.99. Invoices up to $2,500 will incur a flat shipping rate of $19.99. Invoices with a value over $2,500 will be billed at RTA�s discretion using the best industry standard practices. Invoices must be paid in full, before Items will be shipped. Items paid via ACH or Wire may be held until the payment is cleared. It is the bidder�s responsibility to keep an accurate, up-to-date shipping address on file. RTA�s policy is to ship to verified addresses on file at the time of registration. Signature may be required on purchases over $750. We will ship to the United States with the above criteria and cost. Shipments to Canada will be priced accordingly with shipment international, $15 USD Minimum charge for shipping to Canada, all customs paid by buyer on receiving item, and $2 per item handling charge. 8. SALES TAX: Buyers who reside in the State of Georgia are required to pay applicable sales tax on all purchases, unless the buyer provides a valid Resale Tax Number at the time of registration. Buyers outside of the State of Georgia are required to pay any applicable state and local sales tax for their jurisdiction. 9. PAYMENT & REMOVAL OF ITEMS: For transactions less than $2,500, RoundTable Auctions will automatically charge the bidder�s credit card placed on file with Hibid following the close of auction. For transactions of $2,500 - $5,000, we require either wire transfer OR Supra Fraud Protection Credit Card Processing (additional 1% processing fee on top of the 3% fee) For transactions exceeding $5,000, we require payment via wire transfer. Payment must be received within 72 hours of close of auction, or winnings will be forfeited. Any item(s) not removed within this timeframe may be considered abandoned, and the buyer may lose any right to the item(s). There is a 10% buyer�s premium associated with all items, as well as a 3% credit card processing fee, plus the cost of shipping. We do not offer returns, refunds, or exchanges. 11. LIMITATION OF LIABILITY: RTA, its directors, officers, employees, or agents are not liable for any damages of any kind arising from the sale, delivery, or use of any item sold via RTA's platform. In no event will the liability of RTA or its affiliates exceed the price paid for an item. 12. INDEMNIFICATION: Buyers and Sellers using RTA's services agree to defend, indemnify, and hold harmless RTA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms and conditions, your use of RTA's services, including, but not limited to, your user contributions, any use of RTA's content, services, and items other than as expressly authorized in these terms and conditions, or your use of any information obtained from the site. 13. DISPUTE RESOLUTION: Any disputes that arise under this Agreement, or that relate in any way to your use of the RTA Services, will be resolved by binding arbitration in the state of Georgia, United States. You agree to personal jurisdiction by and venue in the state and federal courts of Georgia, United States. 14. MODIFICATION: RTA may modify the terms and conditions of this Agreement at any time. Such modifications will become effective immediately upon posting to our websites. Continued use of the RTA services following such modifications indicates your acceptance of the modified Agreement. 15. SEVERABILITY: If any part of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect. 16. PRIVACY POLICY: Your use of RTA services is also governed by our Privacy Policy. Please review our Privacy Policy, which explains our practices relating to the collection and use of your information through or in connection with our services. By using our services, you consent to the collection and use of your information as we outline in our Privacy Policy. 17. APPLICABLE LAWS: This Agreement and your use of RTA services are governed by and construed in accordance with the laws of the state of Georgia, United States, applicable to agreements made and to be fully performed within the state of Georgia, without regard to its conflict of laws rules. 18. ENTIRE AGREEMENT: This Agreement, together with any amendments and any additional agreements you may enter into with RTA in connection with the services, shall constitute the entire agreement between you and RTA concerning the services. If there is a conflict between this Agreement and any later agreement, the later agreement will control. 19. ACKNOWLEDGEMENT: By employing RTA's websites, participating in our auctions, or acquiring via our direct sale services, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions. By using RTA's services, you affirm that you are at least 18 years of age and have the authority to enter into this Agreement. Any violation of these terms and conditions may result in the suspension or termination of your account and access to RTA services. Furthermore, you agree to be held personally liable for any and all costs incurred by RTA in its efforts to collect any remaining balances due in the event of your account cancellation, suspension, or forfeiture.

Auction Terms & Conditions - RoundTable Auctions � Updated 10/10/24 This document sets forth the terms and conditions ("Agreement") related to your use of RoundTable Auctions (RTA) websites and services, as well as your participation in auctions or direct purchase activities. RTA�s websites are defined as any website that hosts RTA�s auctions, items, consigned items, designs, or services performed by any associate of RoundTable Auctions, RTA affiliates, or RTA�s parent company, Gold & Coin Exchange. By accessing or using RTA�s websites and services, you affirm your understanding and agreement to abide by this Agreement. 1. AGREEMENT ACCEPTANCE: By employing RTA's websites, participating in our auctions, or acquiring via our direct sale services, you are expressing your agreement to these terms and conditions. This acceptance is obligatory and incorporates any subsequent changes we might make. 2. TERMINOLOGY: - "Auction": An online event that we organize where registered users can submit bids on items available for sale. - "Bidder" or "Buyer" or �Customer�: Any individual or entity registered with RTA intending to bid in auctions or buy items directly. - "Seller" or �Auctioneer�: Any individual or entity authorized by RTA to offer and sell items via our platform. RTA may also perform the role of a seller. - "Services": The range of auction and direct sale services provided by RTA and its affiliates. - "Items": The various items offered for auction or direct sale on our platforms. - �Affiliates�: Authorized members of the RoundTable Network. - �Payment�: Payment in full for all items and their associated fees, cleared and posted to RTA�s accounts. A holding period may apply to ACH payments. - �Transaction�: the total amount of funds owed for items and their associated taxes and fees. 3. SERVICES: RTA offers a platform for online auctions and direct sales through our websites, as well as auctions on Hibid.com. Be advised that RTA does not invariably act as the auctioneer for live auctions and may not always oversee the items listed by independent sellers. 4. ITEM DESCRIPTIONS: Sellers, not RTA, are responsible for item descriptions. Therefore, RTA cannot be held accountable for any inaccuracies in these descriptions. Customers should depend on the posted item images for ultimate assessment of item attributes. 5. SELLERS: Sellers employing RTA's services and websites to sell items are forming binding legal agreements. As a result, these services are not open to minors. Sellers must comply with our terms and conditions, provide truthful and accurate information, and keep a current seller account with RTA. 6. BIDDERS: Bidders must adhere to our terms and conditions. All Hibid Customers must be pre-approved by RTA and maintain an active Bidder account. Prior to participating in auctions or direct sales, Hibid Customers must provide the required registration information. This includes, but is not limited to, information supplied during the registration process or in any public message area or email feature. Buyers affirm that their provided information is accurate and free of any harmful software that could potentially compromise any system, data, or personal information. Bidders, like Sellers, are forming binding agreements, and hence, our services are not open to minors. Bidders with a negative reputation score will be automatically removed from the auction. For some auctions, Bidders may require written approval. If approved, a Bidder Number will be issued. Approval for one auction does not assure approval for subsequent auctions. Furthermore, RTA and individual Sellers reserve the right to refuse any individual or entity from participating in any auction or direct sale. 7. SHIPPING, HANDLING, AND INSURANCE: All shipping is done in-house by RTA and RTA affiliates. There is a $1-per-item handling fee. Your Items may arrive in multiple shipments. Costs related to shipping will be based on the total value of shipment. Costs related to shipping, handling, and insurance during the delivery of Items will be paid by the Bidder. Invoices valued up to $1,500 will incur a flat shipping rate of $9.99. Invoices up to $2,500 will incur a flat shipping rate of $19.99. Invoices with a value over $2,500 will be billed at RTA�s discretion using the best industry standard practices. Invoices must be paid in full, before Items will be shipped. Items paid via ACH or Wire may be held until the payment is cleared. It is the bidder�s responsibility to keep an accurate, up-to-date shipping address on file. RTA�s policy is to ship to verified addresses on file at the time of registration. Signature may be required on purchases over $750. We will ship to the United States with the above criteria and cost. Shipments to Canada will be priced accordingly with shipment international, $15 USD Minimum charge for shipping to Canada, all customs paid by buyer on receiving item, and $2 per item handling charge. 8. SALES TAX: Buyers who reside in the State of Georgia are required to pay applicable sales tax on all purchases, unless the buyer provides a valid Resale Tax Number at the time of registration. Buyers outside of the State of Georgia are required to pay any applicable state and local sales tax for their jurisdiction. 9. PAYMENT & REMOVAL OF ITEMS: For transactions less than $2,500, RoundTable Auctions will automatically charge the bidder�s credit card placed on file with Hibid following the close of auction. For transactions of $2,500 - $5,000, we require either wire transfer OR Supra Fraud Protection Credit Card Processing (additional 1% processing fee on top of the 3% fee) For transactions exceeding $5,000, we require payment via wire transfer. Payment must be received within 72 hours of close of auction, or winnings will be forfeited. Any item(s) not removed within this timeframe may be considered abandoned, and the buyer may lose any right to the item(s). There is a 10% buyer�s premium associated with all items, as well as a 3% credit card processing fee, plus the cost of shipping. We do not offer returns, refunds, or exchanges. 11. LIMITATION OF LIABILITY: RTA, its directors, officers, employees, or agents are not liable for any damages of any kind arising from the sale, delivery, or use of any item sold via RTA's platform. In no event will the liability of RTA or its affiliates exceed the price paid for an item. 12. INDEMNIFICATION: Buyers and Sellers using RTA's services agree to defend, indemnify, and hold harmless RTA, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these terms and conditions, your use of RTA's services, including, but not limited to, your user contributions, any use of RTA's content, services, and items other than as expressly authorized in these terms and conditions, or your use of any information obtained from the site. 13. DISPUTE RESOLUTION: Any disputes that arise under this Agreement, or that relate in any way to your use of the RTA Services, will be resolved by binding arbitration in the state of Georgia, United States. You agree to personal jurisdiction by and venue in the state and federal courts of Georgia, United States. 14. MODIFICATION: RTA may modify the terms and conditions of this Agreement at any time. Such modifications will become effective immediately upon posting to our websites. Continued use of the RTA services following such modifications indicates your acceptance of the modified Agreement. 15. SEVERABILITY: If any part of this Agreement is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement will remain in full force and effect. 16. PRIVACY POLICY: Your use of RTA services is also governed by our Privacy Policy. Please review our Privacy Policy, which explains our practices relating to the collection and use of your information through or in connection with our services. By using our services, you consent to the collection and use of your information as we outline in our Privacy Policy. 17. APPLICABLE LAWS: This Agreement and your use of RTA services are governed by and construed in accordance with the laws of the state of Georgia, United States, applicable to agreements made and to be fully performed within the state of Georgia, without regard to its conflict of laws rules. 18. ENTIRE AGREEMENT: This Agreement, together with any amendments and any additional agreements you may enter into with RTA in connection with the services, shall constitute the entire agreement between you and RTA concerning the services. If there is a conflict between this Agreement and any later agreement, the later agreement will control. 19. ACKNOWLEDGEMENT: By employing RTA's websites, participating in our auctions, or acquiring via our direct sale services, you acknowledge that you have read and understood this Agreement and agree to be bound by its terms and conditions. By using RTA's services, you affirm that you are at least 18 years of age and have the authority to enter into this Agreement. Any violation of these terms and conditions may result in the suspension or termination of your account and access to RTA services. Furthermore, you agree to be held personally liable for any and all costs incurred by RTA in its efforts to collect any remaining balances due in the event of your account cancellation, suspension, or forfeiture.
