TERMS AND CONDITIONS Please Read all Terms and Conditions carefully. Prospective buyers are required to acknowledge and consent to Terms and Conditions in order to participate in the auction. 1. Century 21 Realty Concepts, its agents, and any third party vendors are solely representing Seller, and are in no way representing or an agent of Bidder and/or prospective buyer. Bidders and prospective buyers are encouraged to seek appropriate counsel. 2. Property is offered at auction by Seller with an unpublished reserve, and is contingent upon the successful sale and transaction of both parcels simultaneously. Upon auction close, Seller may, at their sole discretion, accept a high bid for less than their unpublished reserve, or waive the simultaneous contingency and accept an advantageous purchase offer without prior notice to any bidder. 3. This auction is not contingent upon buyer financing. Documentation attesting to Bidder's ability to purchase or acquire adequate financing from a financial professional such as a financial institution, wealth manger or advisor, CPA, or attorney is required to be submitted to Auctioneer prior to placing a bid. Successful high bidder will be required to remit 10% of the high bid as escrow to Niebruggie-Reimers & Imbrugia, LLC within 24 hours of the close of the auction. The successful high bidder will be provided escrow money wiring instructions for Escrow Agent (Niebrugge-Reimers & Imbrugia, LLC) immediately upon close of the auction. 4. Successful high bidder will also be required to enter into a Land Purchase Contract within 24 hours of the close of auction. A copy of the contract for each individual parcel is included in the diligence packet. 5. Legal, Title, Escrow, and Closing services shall be provided by Niebrugge-Reimers & Imbrugia, LLC, Effingham, Illinois, or their assigns. 6. Seller shall provide Buyer with marketable title to the property as conveyed by recordable deed. Seller shall also provide Buyer with Owner's Title Insurance Policy. Any Lender title insurance policy shall be responsibility of the Buyer. Any survey, environmental study, soil analysis or other professional service required for buyer satisfaction shall be performed by buyer at their sole expense. All professional services and inspections must be approved by Seller prior to initiation. Tax or Revenue Stamps shall be paid by Seller, Any Closing Agent fee or charges shall be split between Buyer and Seller equally. 7. Auctioneer is the sole and final authority for acceptance of any and all bids. 8. Closing shall occur within 45 days of close of auction at a time and place to be determined by Seller in conjunction with Niebrugge-Reimers & Imbrugia, LLC, or their assigns. 9. Broker can decline any prospective bidder or buyer, or broker or agent who fails to complete any necessary requirements as determined by Broker to be detrimental to the Seller. 10. All sales are presented without warranty or guarantee by Broker or Seller, and are offered and sold on an "As-is, Where-is" basis. 11. Neither Seller nor Broker shall be liable for the accuracy of any information provided or statements made regarding the property. Bidder or prospective buyers have sole responsibility to independently verify any information provided. Any announcement by Broker before or during auction shall take precedence over any previously printed, advertised, or marketed material.
