ASSET REALTY ADVISORS ONLINE AUCTION TERMS AND CONDITIONS
Online Auction: The auction will be conducted as a timed ONLINE Auction. The auction will begin on or about Oct. 25, 2019 and end on Nov. 20 at 2 PM. The property is located at 47 E. Hollister Street, Cincinnati, OH 45219. The property will be sold to the highest bidder at or above $600,000. Interested persons can participate in the bidding from their computer or mobile device by logging on and registering at www.AssetRealtyAdvisors.com.
This auction is not contingent on or subject to the purchaser being able to obtain financing. Per the contract, ‘time is of the essence'; the winning bidder should proceed to closing immediately upon being notified that their bid has been accepted. The closing must take place within 30 days of the date the online bidding ends. If the closing is delayed for any reason by the purchaser or other parties working on behalf of the purchaser, including any lender, the purchaser may be declared in breach of the contract, forfeit all deposits made, and could be additionally liable for any and all costs incurred by the seller and Asset Realty Advisors in a subsequent resale of the property. When you place a bid, you are acknowledging that you have read and agreed to the terms of the Contract to Purchase.
Registration: All bidders must register with a valid credit card to participate in the auction.
Buyer Premium: A ten percent (10%) buyer premium will be added to the high bid amount to determine the full purchase amount to be paid by the purchaser. The full purchase price for the real estate is defined as the sum of the final bid amount acknowledged and accepted by the seller, plus the ten percent (10%) Buyer Premium amount which will be added to the high bid amount. Example: High bid amount of $100,000 plus a ten percent buyer premium of $10,000 making the purchase price $110,000.
Contract: Contract Packages will be sent by e-mail to the successful high bidder at the conclusion of the auction. The contract package will include the Purchase Contract, Agency Disclosure and all other associated forms. The successful high bidder must execute (electronically or manually) and email, fax, or hand deliver the package to the office of Asset Realty Advisors no later than 4PM ET the day following the conclusion of the auction. If there are any discrepancies between these terms and conditions and the Purchase Contract, the Purchase Contract shall prevail.
Deposit: The successful high bidder must deliver an amount equal to 10% of the purchase price (inclusive of the buyer premium) to Asset Realty Advisors by wire transfer or a cashier's check no later than 4 PM ET November 21, 2019. High Bidder should contact Cindy Chambers at 513.724.1133 for wiring instructions. Delivery of the cashier's check may be made between 9 AM & 4 PM November 21, 2019 to the offices of Asset Realty Advisors which are located at 1126 Old St. Rt. 74, Batavia, OH 45103.
Collection and Attorney Fees: In the event Asset Realty Advisors or the seller has to engage counsel or collection companies to assist in enforcing any part of the auction Contract to Purchase, terms and conditions or collection of all or part of the down payment or full purchase amount from any bidder, Buyer, or other such party, Buyer or other such party shall be responsible and agrees to pay for all reasonable fees including without limitation attorney fees, collection costs, and all expenses incurred by Asset Realty Advisors or seller including without limitation costs and expenses relating to evaluating, analyzing, assessing, enforcing, preparing for and conducting litigation of any kind or nature, whether or not legal proceedings are commenced. If declared buyer does not adhere to these terms and conditions and the terms of the Contract to Purchase the buyer will be responsible for the costs of remarketing the property and any deficiency amount which may occur from the resale of the property.
Property Inspections: All property inspections and other due diligence must be performed prior to bidding. The property is being sold in "as is, where is condition, with caveat emptor/all faults."
Closings/Possession/Taxes: Closing shall take place on or before and no later than Dec. 20, 2019. The closing shall take place at Absolute Title Agency, 2770 Mack Rd., Fairfield, OH 45014. The seller will pay for the costs to prepare a new deed and conduct a title exam. The buyer will be responsible for all closing costs, in an amount not to exceed $900, plus transfer taxes and recording fees. The title company shall prepare the closing statement for review and approval and conduct the closing. Buyer shall receive an insurable title at closing which is free and clear of all liens and shall be responsible for the costs of the title insurance required by the title company for a cash purchase. The real estate taxes and any collected rents will be prorated to the date of the closing. The property will be conveyed by Warranty Deed. Possession will be given to the purchaser at closing subject to tenants' rights.
Agency: Asset Realty Advisors is acting as agent for the seller, not as buyer's agent. Asset Realty Advisors reserves the right to remove or cancel the bids and or bidding rights and privileges of any party, deemed not to be in the best interest of the seller. Asset Realty Advisors or sellers may cancel the auction at any time prior to the execution of the Contract to Purchase at their sole discretion.
