PERSONAL PROPERTY Terms and Conditions: Personal Property: Shall include all property in any Auction {that is not considered REAL PROPERTY} to include but not limited to equipment, firearms, vehicles, tools, machinery, farm implements, recreational vehicles, transportation surplus, government surplus, construction surplus, farming surplus, industrial surplus, collections, furniture, or any item ordered sold by Personal Representative, Bank Officials, Lending Institutions, Court Order, Trustee, Executor, Executrix, Administrator, Manager or Member of any LLC, Officer or Director of any Corporation and individual and family members appointed to sell personal property , singular or plural, single offerings or multiple items in any Auction Event. Buyers Premium: Up to A 21.25% Buyer Premium may be added to the winning bid for Equipment and the Vehicles. Up to 21.25% Buyer Premium will be added to all other personal property. Subject to all payment processing to include certified funds, checks or cash, ALL WIRE TRANSFERS WILL BE ASSESSED THE APPROPRIATE FEE to be paid by purchaser this will include Auction Fee, Credit Card Fees, and will exclude taxes, transfer fees, back ground checks, federal firearm dealer requirements, shipping, handling, storage or other state, local or federal fees. Instruction Form: During registration purchasers shall fill out an instruction form that will alert the Auctioneer of the details of a transaction to include payment, shipping, storage, contact information, receiving address and correct billing address. This is to help the Auctioneer insure timely preparation any item for transfer of ownership. Please fill out the form in detail prior to bidding and return by email or fax number as provided on the form or in person. Possession of Property: Once the property is announced sold it then becomes the property of the bidder. The bidder is then immediately responsible for the item and must make or has made all arrangements necessary to secure the item, with exception of firearms which will be in possession of the seller and or dealer. The Auctioneer will not be responsible for security of any property sold. Any item left on the property will be subject to fines or loss. The winning bidder must plan an arrangement to move the property within 24 hours after bid award. All movable items shall be paid for at the time of purchase without delay. Auctioneers are not responsible and shall not be liable for the security of any items. Shipping: Shipping: USPS Box Rates for Priority: Small: $20 Medium: $30 Large: $40 Cost Plus for FedEx " UPS, USPS, Boxes, Packing and Labor to prepare, pack, and transport will be billed at $75 per hour with a (1) one hour minimum. Freight Items will be cost plus for wait times, loading at a rate of $125 per hour. After hours shipping preparation, time waiting, and all special pick-up time requests or requests to extend hours will be at a rate of $125 per hour. Labor charge of $75 per hour plus the cost of packing, shipping, insurance, taxes, and credit card fees will be charged per item per shipment. Any item purchased will be the sole responsibility of the purchaser. All costs for shipping will be paid prior to any item being released in the event the Auctioneer arranges shipping. In all other cases the purchasers shall coordinate the method, time, delivery, and choice of shipper. Auctioneers are not responsible and shall not be liable for the security of any items. If shipping is not included in the final purchase price, Purchasers are required to plan an arrangement for picking up any and all items. * Special Rules apply to Firearms, and will be strictly enforced, overseen by the FFL Dealer, subject to additional fees. Payments: All checks are subject to cash availability and auctioneers reserve the right to hold any items until cash funds have been presented for collection. Auctioneer shall have the authority to collect payment in the form Authorized by the purchaser and purchaser shall vie permission to collect information necessary to process payments. All payments shall be collected on the same day. Purchaser shall pay any fees or surcharges connected with the method of payment. Credit card payments will be final and no rebates; refunds or disputes will be allowed in connection with the purchase. Buyers acknowledge that he/she has read the requirements and will sign the buyer's acknowledgement prior to delivery and transfer of property. Personal Property Purchasers will pay in full for the total transaction/purchase price on auction day in the form of cash, cashier's check or good personal funds accompanied by a bank letter of guarantee with up to a 21.25% BP Added, Taxes Added, Transfer Fees Added, Background Check Added. All will require certified funds and payment in full on the day of the auction immediately after the bid award with no rights or refund, all sales are final. Condition: Auctioneer will not be responsible for the condition of any item. All property will be sold as is where is with any and all faults. Auctioneer will not grade the condition of the item nor cause any item to have any guarantee of condition. There will be no warranty, replacements or repairs to any item. All sales are at the risk of the buyer before, during and after the purchase. Any purchaser shall conduct his own inspection of the item prior to purchase. Inspection: Auctioneer will make every effort to allow for pre-auction inspection of items. Purchasers may inspect at will online and make their own research prior to making bids. Purchasers must allow for this time reservation and cause the inspection of the item prior to each sale. Non-inspection of any item will not alleviate the purchaser from the obligations and responsibilities of the purchaser. Warranty of Transfer: Items sold may be subject to confirmation being announced by the Auctioneers. Auctioneer will not warrant the transfer of any item or property until authorized by the seller and or and lien holder. Auctioneers shall take all measures necessary to ensure that the transfer of ownership is completed, however the Auctioneer shall not be held liable for the final disposition of the property. All confirmations of sale shall be the responsibility of the owners or authorized sellers. Items with Reserve: Items selling by confirmation may or may not have a posted reserve. The Auctioneer may not be required to disclose the reserve and shall proceed under the direction of the seller with respect to any posted or non-posted reserve. The announcement of acceptance of non-acceptance of the final bid price shall be made in a timely manner as instructed by the seller or may not be disclosed at all. Seller reserves the liberty of bidding in the preparation for confirmation of the sale. RULES FOR FIREARMS Auctioneers are authorized to obtain the highest possible offer in a competitive bid environment including but not limited to a live bid environment, online bidding or other method or accepting of receiving offers for items listed and shall collect all funds on behalf of the seller. Then by order of the seller the Federal Firearms Dealer will then initiate transfer of the firearm only from The Dealers business location with no exceptions. No firearm shall be picked up from the location of the auction and shall remain in sellers possession until the dealer is authorized to remove the items. All transactions will be subject to a transfer fee, a background check fee in addition to shipping, boxing, handling, storage or any unforeseen condition that may affect the transfer of any firearm. As set by the firearm dealer, there will be no rebates, returns or refunds of any payment in cash, check, credit card, wire transfer or any other form of payment of trade. In the event the buyers cannot pass a background check to receive transfer, the buyer/bidder will forfeit all payments including purchase price, taxes, buyers premium, transfer fees or other cost associated with the sale. (This Area is for General Terms Verbiage - This may be added for specific projects) *This does not include Purchase, Buyers Premium and Taxes paid to the Auctioneer. All bidders are responsible for understanding the terms and conditions prior to bidding on any item or property for sale and the inspection of any item prior to bidding. All bidders are responsible for payment and receipt of property. Once the property has been declared sold the purchaser shall immediately plan for securing the item, make all payments in full including buyer premium and taxes, and arrange for shipping or pickup. The Auctioneer will not guarantee or warrant the condition of any item and the sellers shall have no obligation for repair or replacement of any property. ABSENTEE BIDDING A qualified user may place absentee bids. Commonly referred to as left bids or proxy bids can be used in connection with MAX BIDDING. When a user leaves a max bid, this creates an offer in the maximum amount a user is willing to offer plus all other requirements of the terms and conditions. Auctioneers and Real Estate Brokers may evaluate all offers including the maximum bid placed by the user for the purpose of determining the higher offer acceptable by the seller. CLOSING Time being of the essence, this sale shall be closed within the appointed time after acceptance offer together with acceptable commitment to produce a regulatory insured title policy subject to permitted policy exceptions and or other required exclusions. This transaction is not contingent upon financing. Buyers will be responsible for all closing costs and may select the closing officer of their choosing. All Earnest money deposits shall be placed in escrow until closing. The Purchaser will be charged 100% cost of the title insurance policy which is based on the purchase price and 100% of all other closing costs {by purchasers closing agent} per real estate transaction per property, and this fee may include the following: conducting the closing; collecting and disbursing funds at closing; title abstract; document/deed preparation, preparing a closing statement and closing attorney fee. Buyer shall forfeit deposits, Buyers Premium, Auctioneer Fees, option money and shall be subject to recovery of additional funds for loss, injury or collections in the process to sale, resale or otherwise recover costs including any attorney fees and court costs. Should Seller default, Seller shall repay all costs associated with sale including Buyers Premium, Auctioneers Fees, costs associated with closing, surveys and closing costs. POSSESSION Possession of the real estate will be granted to the purchaser at closing and funding. Possession may be granted under separate agreement between the purchaser and seller. INDIVIDUAL PURCHASES Individual purchases are to be considered as a single transaction not contingent upon acceptance of any other bids by the Seller. Seller has the right to sell this Property in any form or fashion that is legal and ethical in order to produce the best offer to the Seller. PAYMENTS All purchases shall be subject to payments directly or indirectly as prescribed by Broker/Auctioneer. Wire transfer, cashiers check or other verifiable liquid payment shall be issued or made readily available at the time of purchase immediately after Bid Award. Non-payment shall constitute default of the terms and conditions. Buyers may be subject to additional collection fees, including but not limited to all collection costs, attorney fees, court costs or other recovery costs associated with the sale. REPRESENTATION Purchaser and Seller acknowledge and agree that the only Broker/Agent/Auctioneer involved in this transaction is Myers Jackson Licensed Texas Broker, Auctioneer #17057, as broker/auctioneer for the Seller in this transaction. Broker/Auctioneer has not acted as agent in this transaction for the Purchaser. Participating Brokers may be identified in the Broker participation agreement. SURVEY If the Purchaser wishes to have a survey, the Purchaser may select the surveyor of their choice and must abide by the terms and conditions of this real estate offering. Two (2) copies of each of the certified surveys, if any, must be delivered to both the Closing Agent at least ten (10) days prior to the Closing. Purchaser will pay for all costs associated with the survey. The Auctioneer/Broker, the Closing Agent and each of their respective employees, attorneys and agents expressly disclaim any liability for alleged loss or damage which may result from reliance upon such map, plat, survey or diagram. Any such map, plat, survey or diagram is for reference only and has been provided for the convenience of the bidders. The Purchaser shall not rely on estimated field measurements but shall rely on its own due diligence and judgment. The Property shall be sold subject to: (a) visible easements or claims of easements not shown by the public records, and shown graphically on any survey, map or subdivision plats, and (b) boundary line disputes, overlaps, encroachments, and any matters not of record that would be disclosed by an accurate survey and inspection of the Property. AD VALOREM TAXES County Tax Collector 2022 Estimated Ad Valorem Taxes for Parcel is available through public records. ($ _____________) SPECIAL CONDITIONS OF THE SALE 1. Sellers presently have title to this Property. At the time of closing, Sellers agree to convey a marketable title to said Property by deeds as described and subject only to (1) zoning ordinances affecting said property; (2) general utility, sewer, road, and drainage easements of record; government easements, rights-of-way, covenants, restrictions, encumbrances and other matters of record, if any issued by any government agency for any use perpetual or limited by contract or deeded restrictions in all forms (3) subdivision easements, covenants and restrictions of record, if any; and (4) leases, other easements, other restrictions and encumbrances specified herein. This property is selling subject to visible easements or claims of easements not shown by the public records, shown or not shown graphically on subdivision plats or other maintained records, prescribed use easements recorded or unrecorded, boundary lines disputes, overlaps, encroachments, and any matters not of record that would be disclosed by an accurate survey and inspection of the premises. This Property is sold subject to all outstanding easements on said property for roads of public record or private use being granted, prescribed, leased or otherwise conveyed easements of power, electronic and telephone lines and the like and likewise subject to any cemetery or cemeteries that may now exist on this property rights of the public to use and gain access to any cemetery lying within the bounds of the land described. 2. All properties may be subject to current lien holders approval and may be presented for short sale approval if applicable. However, no guarantee will be made by the seller. Purchaser will agree to all extensions required by the seller, Financial Institutions, Federal, State and Local Courts of Jurisdiction and will accept all extensions until approval can be executed. Purchaser and seller agree that the earnest money deposits shall be held in the broker's escrow account and can be transferred upon request to the closing agent. Any earnest money deposit shall continue to be held during the course of the contract, including any extension period or time required for acceptance in conjunction with any short sale, lien holder approval, Federal, State or Local Court actions needed to assure the sellers ability to satisfy and deliver a marketable title. In the event a final contract agreement cannot be reached between all parties, earnest money will be returned, and each party will be held harmless. 3. Auctioneer/Broker, and Sellers do not warrant or covenant with Buyer with respect to the existence or nonexistence of any pollutants, contaminants or hazardous waste prohibited by federal, state or local law or claims based thereon arising out of the actual or threatened discharge, release, disposal, seepage, migration or escape of such substances at, from or into the demised premises. Buyer is to rely upon its own environmental audit or examination of the premises. 4. This property is being sold subject to all laws federal, state or local law concerning any species that may be listed as threatened, endangered or otherwise protected as disclosed on the plat attached. It is the responsibility of the purchaser to inspect the property and the purchaser(s) shall rely on their own investigation in conjunction with the purchase of this property. Seller shall have no obligation to extend the contract-closing period and purchaser will not be granted any inspection period after the final gavel call. 5. A detailed title search has not been conducted; therefore, Auctioneer/Broker, and Seller are not positive as to the status of the oil, gas and mineral rights. The Seller may, at direction, convey interest in any oil, gas, or mineral rights to the Purchaser unless stated in writing that such rights shall transfer to the Purchaser, therefore prior reservations shall stand as reserved. PERSONAL PROPERTY Terms and Conditions: Personal Property: Shall include all property in any Auction {that is not considered REAL PROPERTY} to include but not limited to equipment, firearms, vehicles, tools, machinery, farm implements, recreational vehicles, transportation surplus, government surplus, construction surplus, farming surplus, industrial surplus, collections, furniture, or any item ordered sold by Personal Representative, Bank Officials, Lending Institutions, Court Order, Trustee, Executor, Executrix, Administrator, Manager or Member of any LLC, Officer or Director of any Corporation and individual and family members appointed to sell personal property , singular or plural, single offerings or multiple items in any Auction Event. Buyers Premium: Up to A 21.25% Buyer Premium may be added to the winning bid for Equipment and the Vehicles. Up to 21.25% Buyer Premium will be added to all other personal property. Subject to all payment processing to include certified funds, checks or cash, ALL WIRE TRANSFERS WILL BE ASSESSED THE APPROPRIATE FEE to be paid by purchaser this will include Auction Fee, Credit Card Fees, and will exclude taxes, transfer fees, back ground checks, federal firearm dealer requirements, shipping, handling, storage or other state, local or federal fees. Instruction Form: During registration purchasers shall fill out an instruction form that will alert the Auctioneer of the details of a transaction to include payment, shipping, storage, contact information, receiving address and correct billing address. This is to help the Auctioneer insure timely preparation any item for transfer of ownership. Please fill out the form in detail prior to bidding and return by email or fax number as provided on the form or in person. Possession of Property: Once the property is announced sold it then becomes the property of the bidder. The bidder is then immediately responsible for the item and must make or has made all arrangements necessary to secure the item, with exception of firearms which will be in possession of the seller and or dealer. The Auctioneer will not be responsible for security of any property sold. Any item left on the property will be subject to fines or loss. The winning bidder must plan an arrangement to move the property within 24 hours after bid award. All movable items shall be paid for at the time of purchase without delay. Auctioneers are not responsible and shall not be liable for the security of any items. Shipping: Shipping: USPS Box Rates for Priority: Small: $20 Medium: $30 Large: $40 Cost Plus for FedEx " UPS, USPS, Boxes, Packing and Labor to prepare, pack, and transport will be billed at $75 per hour with a (1) one hour minimum. Freight Items will be cost plus for wait times, loading at a rate of $125 per hour. After hours shipping preparation, time waiting, and all special pick-up time requests or requests to extend hours will be at a rate of $125 per hour. Labor charge of $75 per hour plus the cost of packing, shipping, insurance, taxes, and credit card fees will be charged per item per shipment. Any item purchased will be the sole responsibility of the purchaser. All costs for shipping will be paid prior to any item being released in the event the Auctioneer arranges shipping. In all other cases the purchasers shall coordinate the method, time, delivery, and choice of shipper. Auctioneers are not responsible and shall not be liable for the security of any items. If shipping is not included in the final purchase price, Purchasers are required to plan an arrangement for picking up any and all items. * Special Rules apply to Firearms, and will be strictly enforced, overseen by the FFL Dealer, subject to additional fees. Payments: All checks are subject to cash availability and auctioneers reserve the right to hold any items until cash funds have been presented for collection. Auctioneer shall have the authority to collect payment in the form Authorized by the purchaser and purchaser shall vie permission to collect information necessary to process payments. All payments shall be collected on the same day. Purchaser shall pay any fees or surcharges connected with the method of payment. Credit card payments will be final and no rebates; refunds or disputes will be allowed in connection with the purchase. Buyers acknowledge that he/she has read the requirements and will sign the buyer's acknowledgement prior to delivery and transfer of property. Personal Property Purchasers will pay in full for the total transaction/purchase price on auction day in the form of cash, cashier's check or good personal funds accompanied by a bank letter of guarantee with up to a 21.25% BP Added, Taxes Added, Transfer Fees Added, Background Check Added. All will require certified funds and payment in full on the day of the auction immediately after the bid award with no rights or refund, all sales are final. Condition: Auctioneer will not be responsible for the condition of any item. All property will be sold as is where is with any and all faults. Auctioneer will not grade the condition of the item nor cause any item to have any guarantee of condition. There will be no warranty, replacements or repairs to any item. All sales are at the risk of the buyer before, during and after the purchase. Any purchaser shall conduct his own inspection of the item prior to purchase. Inspection: Auctioneer will make every effort to allow for pre-auction inspection of items. Purchasers may inspect at will online and make their own research prior to making bids. Purchasers must allow for this time reservation and cause the inspection of the item prior to each sale. Non-inspection of any item will not alleviate the purchaser from the obligations and responsibilities of the purchaser. Warranty of Transfer: Items sold may be subject to confirmation being announced by the Auctioneers. Auctioneer will not warrant the transfer of any item or property until authorized by the seller and or and lien holder. Auctioneers shall take all measures necessary to ensure that the transfer of ownership is completed, however the Auctioneer shall not be held liable for the final disposition of the property. All confirmations of sale shall be the responsibility of the owners or authorized sellers. Items with Reserve: Items selling by confirmation may or may not have a posted reserve. The Auctioneer may not be required to disclose the reserve and shall proceed under the direction of the seller with respect to any posted or non-posted reserve. The announcement of acceptance of non-acceptance of the final bid price shall be made in a timely manner as instructed by the seller or may not be disclosed at all. Seller reserves the liberty of bidding in the preparation for confirmation of the sale. RULES FOR FIREARMS Auctioneers are authorized to obtain the highest possible offer in a competitive bid environment including but not limited to a live bid environment, online bidding or other method or accepting of receiving offers for items listed and shall collect all funds on behalf of the seller. Then by order of the seller the Federal Firearms Dealer will then initiate transfer of the firearm only from The Dealers business location with no exceptions. No firearm shall be picked up from the location of the auction and shall remain in sellers possession until the dealer is authorized to remove the items. All transactions will be subject to a transfer fee, a background check fee in addition to shipping, boxing, handling, storage or any unforeseen condition that may affect the transfer of any firearm. As set by the firearm dealer, there will be no rebates, returns or refunds of any payment in cash, check, credit card, wire transfer or any other form of payment of trade. PERSONAL PROPERTY Terms and Conditions: Personal Property: Shall include all property in any Auction {that is not considered REAL PROPERTY} to include but not limited to equipment, firearms, vehicles, tools, machinery, farm implements, recreational vehicles, transportation surplus, government surplus, construction surplus, farming surplus, industrial surplus, collections, furniture, or any item ordered sold by Personal Representative, Bank Officials, Lending Institutions, Court Order, Trustee, Executor, Executrix, Administrator, Manager or Member of any LLC, Officer or Director of any Corporation and individual and family members appointed to sell personal property , singular or plural, single offerings or multiple items in any Auction Event. Buyers Premium: Up to A 21.25% Buyer Premium may be added to the winning bid for Equipment and the Vehicles. Up to 21.25% Buyer Premium will be added to all other personal property. Subject to all payment processing to include certified funds, checks or cash, ALL WIRE TRANSFERS WILL BE ASSESSED THE APPROPRIATE FEE to be paid by purchaser this will include Auction Fee, Credit Card Fees, and will exclude taxes, transfer fees, back ground checks, federal firearm dealer requirements, shipping, handling, storage or other state, local or federal fees. Instruction Form: During registration purchasers shall fill out an instruction form that will alert the Auctioneer of the details of a transaction to include payment, shipping, storage, contact information, receiving address and correct billing address. This is to help the Auctioneer insure timely preparation any item for transfer of ownership. Please fill out the form in detail prior to bidding and return by email or fax number as provided on the form or in person. Possession of Property: Once the property is announced sold it then becomes the property of the bidder. The bidder is then immediately responsible for the item and must make or has made all arrangements necessary to secure the item, with exception of firearms which will be in possession of the seller and or dealer. The Auctioneer will not be responsible for security of any property sold. Any item left on the property will be subject to fines or loss. The winning bidder must plan an arrangement to move the property within 24 hours after bid award. All movable items shall be paid for at the time of purchase without delay. Auctioneers are not responsible and shall not be liable for the security of any items. Shipping: Shipping: USPS Box Rates for Priority: Small: $20 Medium: $30 Large: $40 Cost Plus for FedEx " UPS, USPS, Boxes, Packing and Labor to prepare, pack, and transport will be billed at $75 per hour with a (1) one hour minimum. Freight Items will be cost plus for wait times, loading at a rate of $125 per hour. After hours shipping preparation, time waiting, and all special pick-up time requests or requests to extend hours will be at a rate of $125 per hour. Labor charge of $75 per hour plus the cost of packing, shipping, insurance, taxes, and credit card fees will be charged per item per shipment. Any item purchased will be the sole responsibility of the purchaser. All costs for shipping will be paid prior to any item being released in the event the Auctioneer arranges shipping. In all other cases the purchasers shall coordinate the method, time, delivery, and choice of shipper. Auctioneers are not responsible and shall not be liable for the security of any items. If shipping is not included in the final purchase price, Purchasers are required to plan an arrangement for picking up any and all items. * Special Rules apply to Firearms, and will be strictly enforced, overseen by the FFL Dealer, subject to additional fees. Payments: All checks are subject to cash availability and auctioneers reserve the right to hold any items until cash funds have been presented for collection. Auctioneer shall have the authority to collect payment in the form Authorized by the purchaser and purchaser shall vie permission to collect information necessary to process payments. All payments shall be collected on the same day. Purchaser shall pay any fees or surcharges connected with the method of payment. Credit card payments will be final and no rebates; refunds or disputes will be allowed in connection with the purchase. Buyers acknowledge that he/she has read the requirements and will sign the buyer's acknowledgement prior to delivery and transfer of property. Personal Property Purchasers will pay in full for the total transaction/purchase price on auction day in the form of cash, cashier's check or good personal funds accompanied by a bank letter of guarantee with up to a 21.25% BP Added, Taxes Added, Transfer Fees Added, Background Check Added. All will require certified funds and payment in full on the day of the auction immediately after the bid award with no rights or refund, all sales are final. Condition: Auctioneer will not be responsible for the condition of any item. All property will be sold as is where is with any and all faults. Auctioneer will not grade the condition of the item nor cause any item to have any guarantee of condition. There will be no warranty, replacements or repairs to any item. All sales are at the risk of the buyer before, during and after the purchase. Any purchaser shall conduct his own inspection of the item prior to purchase. Inspection: Auctioneer will make every effort to allow for pre-auction inspection of items. Purchasers may inspect at will online and make their own research prior to making bids. Purchasers must allow for this time reservation and cause the inspection of the item prior to each sale. Non-inspection of any item will not alleviate the purchaser from the obligations and responsibilities of the purchaser. Warranty of Transfer: Items sold may be subject to confirmation being announced by the Auctioneers. Auctioneer will not warrant the transfer of any item or property until authorized by the seller and or and lien holder. Auctioneers shall take all measures necessary to ensure that the transfer of ownership is completed, however the Auctioneer shall not be held liable for the final disposition of the property. All confirmations of sale shall be the responsibility of the owners or authorized sellers. Items with Reserve: Items selling by confirmation may or may not have a posted reserve. The Auctioneer may not be required to disclose the reserve and shall proceed under the direction of the seller with respect to any posted or non-posted reserve. The announcement of acceptance of non-acceptance of the final bid price shall be made in a timely manner as instructed by the seller or may not be disclosed at all. Seller reserves the liberty of bidding in the preparation for confirmation of the sale. RULES FOR FIREARMS Auctioneers are authorized to obtain the highest possible offer in a competitive bid environment including but not limited to a live bid environment, online bidding or other method or accepting of receiving offers for items listed and shall collect all funds on behalf of the seller. Then by order of the seller the Federal Firearms Dealer will then initiate transfer of the firearm only from The Dealers business location with no exceptions. No firearm shall be picked up from the location of the auction and shall remain in sellers possession until the dealer is authorized to remove the items. All transactions will be subject to a transfer fee, a background check fee in addition to shipping, boxing, handling, storage or any unforeseen condition that may affect the transfer of any firearm. As set by the firearm dealer, there will be no rebates, returns or refunds of any payment in cash, check, credit card, wire transfer or any other form of payment of trade. In the event the buyers cannot pass a background check to receive transfer, the buyer/bidder will forfeit all payments including purchase price, taxes, buyers premium, transfer fees or other cost associated with the sale. POSSESSION Possession of the real estate will be granted to the purchaser at closing and funding. Possession may be granted under separate agreement between the purchaser and seller. INDIVIDUAL PURCHASES Individual purchases are to be considered as a single transaction not contingent upon acceptance of any other bids by the Seller. Seller has the right to sell this Property in any form or fashion that is legal and ethical in order to produce the best offer to the Seller. SURVEY If the Purchaser wishes to have a survey, the Purchaser may select the surveyor of their choice and must abide by the terms and conditions of this real estate offering. Two (2) copies of each of the certified surveys, if any, must be delivered to both the Closing Agent at least ten (10) days prior to the Closing. Purchaser will pay for all costs associated with the survey. The Auctioneer/Broker, the Closing Agent and each of their respective employees, attorneys and agents expressly disclaim any liability for alleged loss or damage which may result from reliance upon such map, plat, survey or diagram. Any such map, plat, survey or diagram is for reference only and has been provided for the convenience of the bidders. The Purchaser shall not rely on estimated field measurements but shall rely on its own due diligence and judgment. The Property shall be sold subject to: (a) visible easements or claims of easements not shown by the public records, and shown graphically on any survey, map or subdivision plats, and (b) boundary line disputes, overlaps, encroachments, and any matters not of record that would be disclosed by an accurate survey and inspection of the Property. Sellers presently have title to this Property. At the time of closing, Sellers agree to convey a marketable title to said Property by deeds as described and subject only to (1) zoning ordinances affecting said property; (2) general utility, sewer, road, and drainage easements of record; government easements, rights-of-way, covenants, restrictions, encumbrances and other matters of record, if any issued by any government agency for any use perpetual or limited by contract or deeded restrictions in all forms (3) subdivision easements, covenants and restrictions of record, if any; and (4) leases, other easements, other restrictions and encumbrances specified herein. This property is selling subject to visible easements or claims of easements not shown by the public records, shown or not shown graphically on subdivision plats or other maintained records, prescribed use easements recorded or unrecorded, boundary lines disputes, overlaps, encroachments, and any matters not of record that would be disclosed by an accurate survey and inspection of the premises. This Property is sold subject to all outstanding easements on said property for roads of public record or private use being granted, prescribed, leased or otherwise conveyed easements of power, electronic and telephone lines and the like and likewise subject to any cemetery or cemeteries that may now exist on this property rights of the public to use and gain access to any cemetery lying within the bounds of the land described. 2. All properties may be subject to current lien holders approval and may be presented for short sale approval if applicable. However, no guarantee will be made by the seller. Purchaser will agree to all extensions required by the seller, Financial Institutions, Federal, State and Local Courts of Jurisdiction and will accept all extensions until approval can be executed. Purchaser and seller agree that the earnest money deposits shall be held in the broker's escrow account and can be transferred upon request to the closing agent. Any earnest money deposit shall continue to be held during the course of the contract, including any extension period or time required for acceptance in conjunction with any short sale, lien holder approval, Federal, State or Local Court actions needed to assure the sellers ability to satisfy and deliver a marketable title. Auctioneer/Broker, and Sellers do not warrant or covenant with Buyer with respect to the existence or nonexistence of any pollutants, contaminants or hazardous waste prohibited by federal, state or local law or claims based thereon arising out of the actual or threatened discharge, release, disposal, seepage, migration or escape of such substances at, from or into the demised premises. Buyer is to rely upon its own environmental audit or examination of the premises. 4. This property is being sold subject to all laws federal, state or local law concerning any species that may be listed as threatened, endangered or otherwise protected as disclosed on the plat attached. It is the responsibility of the purchaser to inspect the property and the purchaser(s) shall rely on their own investigation in conjunction with the purchase of this property. Seller shall have no obligation to extend the contract-closing period and purchaser will not be granted any inspection period after the final gavel call. 5.
