All properties are sold as is, and neither GLS nor any Consignor make any warranties or representations with respect to any lot sold including but not limited to the correctness of the catalog or other description of the origin, physical condition, size, quality, rarity, attribution, authorship, importance, medium, provenance, exhibitions, literature or historical relevance of the property, and no statement anywhere, whether oral or written, shall be deemed such a warranty or representation. All items are available for examination prior to bidding. Your bidding will signify that you have examined the items as fully as you desire, or that you have chosen not to examine them. In the case of identical absentee bids, the bid received first will prevail. On the close of bidding, whether online, live, or stated date/time sealed bids, title to the offered lot will pass to the highest bidder, subject to fulfillment by such bidder, of all the conditions set forth herein, and such bidder thereupon a) assumes full risk and responsibility thereof, but not limited to, insurance, fire, theft, removal and storage or damage from any and all causes, and b) will pay the full purchase price thereof or such part as we may require. In addition to other remedies available to us by law, we reserve the right to impose a late charge of 10% of the total purchase price if payment is not made in accordance with the conditions set forth herein. Bidding on a Lot, Household, Storage Locker or any item indicates your understanding and acceptance of these Terms of Sale. If a purchaser breaches any of these Terms of Sale, including the obligation to pay for purchased items, GoodLife Sales LLC may seek all remedies under the law including cancelling the sale and re-offering the property to the next highest bidder. In the case of default, you shall be liable for legal fees and expenses. In addition, a defaulting purchaser will be deemed to have granted us a security interest in, and we may retain as collateral security for such purchaser's obligations to us, any property in our possession owned by such purchaser. We shall have the rights afforded a secured party under the California Uniform Commercial Code with respect to such property and we may apply against such obligations all monies held or received by us for the account of, due from us to, such purchaser. Full Payment for successful absentee bids and online bids are required immediately upon notice that you are the high bidder - a maximum of five hours from the close of the auction. Bidding on any Lot, Household, Storage Locker or any item indicates the bidder's acceptance of our Terms of Sale. Your signature on our Bid Form or acceptance of these terms through GoodLife Sales website (www.GoodLifeSales.com) constitutes permission to charge successful bids to credit cards if payment is not received PURCHASERS ARE RESPONSIBLE FOR ALL REMOVAL, PACKING AND SHIPPING COSTS. GoodLife Sales will not provide any assistance with these required tasks. A minimum $100 Refundable Cleanout Deposit may be assessed on each sale to ensure purchaser completes removal of all items and leaves no trash or unwanted items behind. A winning High-bid is a contract to buy and remove all of the items listed. Removal of the items is necessary and within the scope of the bid contract. All items must be removed in a timely manner by the date and schedule that is made known on the bid contract or in the online description. If you fail to remove the items, you could be held liable for any contractual breach that may occur between parties that own the real property where those items are located. You will further be responsible for potential storage fees that may be legally assessed and may even lose title to the items if not removed. GoodLife Sales has no control over this. In removing the items in scope for this contract, you agree to maintain appropriate liability insurance and will take care to not damage any of the real property, structures, plantings, hardscapes, flooring, windows, paint, carpet or other materials and surfaces that comprise the property where the items are housed. You further agree not leave behind any trash, toxic waste, electronic waste items or unwanted items. You must remove everything in scope of this agreement save those items specifically excluded or are part of the real property All buyers and attendees attend our events at their own risk. Participants are responsible for their own safety. No Children under 14 and No Pets (dogs, cats, birds, rodents, reptiles) are allowed insde our events. We will attempt to accomodate disabled persons whenever possible however, not all of our sale locations are ADA compliant. Most of our sale locations have steps or stairs, tile floors, multiple levels or floors, uneven pavement or grounds, narrow hallways and the potential for obstacles and trip hazards created by sale items. Observe all signage that restricts access to areas of our client's home or property. Failure to adhere to access restrictions, barrier fencing and the privacy of our clients will result in removal of a participant from the sale event. You agree to indemnify and hold GoodLife Sales LLC, its subsidiaries, affiliates, officers, agents, and other partners and employees, harmless from any loss, liability, claim, or demand, including reasonable attorneys fees, made by any third party due to or arising out of your contract with GoodLife Sales LLC in violation of this Agreement and/or arising from a breach of this Agreement and/or your violation of any law or the rights of a third party. These Terms and Conditions of Sale as well as the purchaser's and our respective rights and obligations thereunder shall be governed by and construed and enforced in accordance with the laws of the State of California. By bidding at an auction, whether present in person or by agent, order bid, telephone or by other means, the purchaser shall be deemed to have consented to the exclusive jurisdiction of the State of California, with exclusive venue in the County of California. These Terms and Conditions are subject to modification from time-to-time and we will make every effort to notify Program Members when we change them. It is the purchaser's responsibility to review these terms and conditions and be aware of any changes that we may make.
